Terms of Service

AutoOptions AI is a software-as-a-service (SaaS) platform that provides algorithmic options trading signals, strategy backtesting tools, portfolio analytics, AI-assisted trade analysis, paper trading simulation, and optional broker integration capabilities.

IMPORTANT: The Company is NOT a registered investment advisor (RIA) under the Investment Advisers Act of 1940, is NOT a broker-dealer registered with FINRA or the SEC, is NOT a commodity trading advisor (CTA) registered with the CFTC, and does NOT provide personalized investment advice or recommendations tailored to any individual's financial situation.

All content, including AI-generated signals, probability estimates, strategy suggestions, and market analysis, is provided for educational, research, and informational purposes only and does not constitute a recommendation to buy, sell, or hold any security, option, or other financial instrument.

To use AutoOptions AI, you must:

• Be at least 18 years of age (21 in some jurisdictions)
• Have the legal capacity to enter binding contracts in your jurisdiction
• Not be a person or entity subject to OFAC sanctions or export control restrictions
• Not be prohibited from trading securities or derivatives under applicable law
• Not be a resident of a jurisdiction where options trading or such software services are prohibited
• Understand and accept the risks associated with options trading before using live trading features

The Platform is intended for use by U.S. residents only unless otherwise expressly stated. International access is provided without warranty of compliance with local laws.

You must provide accurate, complete, and current information when creating your account. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Immediately notifying us of any unauthorized access at security@freedomempoweringcapital.com
• Safeguarding any broker API keys you enter into the Platform

We are not liable for losses arising from unauthorized account access due to your failure to protect your credentials.

AutoOptions AI offers multiple subscription tiers. Paid subscriptions are billed as specified at checkout via Stripe, our payment processor.

• Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before renewal.
• Price Changes: We reserve the right to change subscription prices with at least 30 days' advance notice.
• Cancellation: You may cancel at any time via Settings → Billing. Access continues until the current period ends. No partial-period refunds.
• Refund Policy: Due to the digital, immediately-consumed nature of the service, all sales are generally final. We may issue discretionary refunds within 7 days of billing for documented platform-side technical failures. Trading losses are not grounds for refunds under any circumstances.
• Failed Payments: We may downgrade or suspend your account after a 5-day grace period following a failed payment.
• Taxes: Prices exclude applicable sales taxes. You are responsible for any taxes applicable in your jurisdiction.

You agree NOT to use the Platform to:

• Violate any applicable law, regulation, or securities rule (including the Securities Exchange Act, Commodity Exchange Act, or applicable FINRA rules)
• Engage in, facilitate, or attempt market manipulation, wash trading, front-running, or insider trading
• Reverse-engineer, decompile, disassemble, or extract the Platform's proprietary algorithms or source code
• Share, resell, sublicense, or transfer your account credentials or subscription access
• Use automated scripts, bots, or scraping tools to extract data from the Platform's APIs beyond permitted use
• Submit false, misleading, or fraudulent information
• Interfere with, disrupt, or damage the Platform's infrastructure or security
• Impersonate another user or person

Paper trading and backtesting features are provided for educational and simulation purposes. You acknowledge:

• Paper trades do not involve real money and do not reflect actual brokerage executions
• Paper trade results are simulated and may not account for slippage, liquidity constraints, or bid-ask spreads
• Backtests are based on historical data and involve hindsight bias — past conditions may not repeat
• Paper trading performance does not predict, imply, or guarantee equivalent live trading results

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR TIMELINESS OF INFORMATION.

WE DO NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE; (B) MARKET DATA WILL BE ACCURATE, COMPLETE, OR TIMELY; (C) AI SIGNALS WILL BE PROFITABLE; OR (D) THE PLATFORM WILL MEET YOUR REQUIREMENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FREEDOM EMPOWERING CAPITAL MANAGEMENT LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY:

• TRADING LOSSES, LOST PROFITS, OR INVESTMENT LOSSES
• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF DATA, GOODWILL, OR BUSINESS OPPORTUNITIES
• DAMAGES ARISING FROM THIRD-PARTY BROKER ACTIONS, OUTAGES, OR ERRORS
• DAMAGES FROM AUTOMATED ORDER EXECUTION ERRORS OR DELAYS

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) $100 USD OR (B) THE AMOUNT YOU PAID TO US IN THE 3 MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Freedom Empowering Capital Management LLC and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your trading activity; or (d) any misrepresentation you make.

All content, algorithms, AI models, designs, software, trademarks, and trade secrets on the Platform are owned by or licensed to Freedom Empowering Capital Management LLC and are protected by applicable intellectual property laws.

You receive a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for your personal, non-commercial use in accordance with these Terms.

Your trading data, strategy configurations, and personally created content remain your property. You grant us a limited license to use anonymized, aggregated data for platform improvement, security monitoring, and statistical analysis.

We may suspend or terminate your account at any time, with or without notice, for: violation of these Terms, fraudulent or abusive activity, non-payment, regulatory requirements, or at our sole discretion.

You may close your account at any time via Settings → Account. Upon termination: your access ceases immediately; we may retain data as required by law; Sections 7, 9, 10, 11, 12, and 14 survive termination.

These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict of law principles.

Binding Arbitration: Any dispute arising from or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court.

Class Action Waiver: You waive any right to participate in a class action lawsuit or class-wide arbitration. All disputes must be brought in your individual capacity only.

Exception: Either party may seek emergency injunctive or other equitable relief in court to prevent irreparable harm pending arbitration.

Small Claims: Either party may bring a qualifying claim in small claims court in lieu of arbitration.

If you participate in the AutoOptions AI referral program:

• Referral credits or commissions apply only to qualifying paid subscriptions
• We reserve the right to modify or terminate the referral program at any time
• Fraudulent referrals (self-referral, fake accounts) will result in account termination and forfeiture of all credits
• Referral payouts are subject to the referred user maintaining an active paid subscription for the qualifying period

• Entire Agreement: These Terms, our Privacy Policy, and Risk Disclosure constitute the entire agreement between you and us regarding the Platform.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• No Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a merger or acquisition.

We may update these Terms at any time. Material changes will be communicated via email and a prominent in-app notice at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
